01Definitions
For the purposes of this Agreement, the following terms carry the meanings assigned below:
- "Service" — the YouTube Automation Service offered by ContentMation, including niche research, channel branding, content production, SEO, monetization support, and ongoing strategy, as described on the Partnership page.
- "Channel" — the YouTube channel created or managed under this Service, which is legally owned by the Client.
- "Onboarding Fee" — the one-time fee of three hundred and fifty United States Dollars ($350) paid by the Client at the commencement of the Service, covering niche research, channel setup, branding, and onboarding.
- "Monthly Subscription" — the recurring monthly payment for ongoing content production, based on the Client's selected tier: $500/month (Launch), $900/month (Scale), or $1,100/month (Elite).
- "Tier" — one of the three service levels (Launch, Scale, Elite), each with a defined monthly subscription fee and corresponding production volume.
- "Content" — any and all video, script, thumbnail, voiceover, image, branding material, or other media produced by ContentMation for the Channel.
- "Billing Cycle" — the recurring 30-day period during which the Monthly Subscription is active, starting from the date of each payment.
- "Pause" — a temporary suspension of the Monthly Subscription requested by the Client, subject to limits defined in Section 13.
02Acceptance of Terms
By paying the Onboarding Fee, signing the service agreement, or engaging ContentMation in any capacity for the Service, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.
If you do not agree with any part of these Terms, you must not engage our Service. Continuation of the Service, payment of Monthly Subscription fees, or acceptance of deliverables constitutes ongoing acceptance of this Agreement.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement in your jurisdiction of residence.
03Service Description
ContentMation provides a done-for-you YouTube automation service, delivering services as outlined in the Client's selected tier. This includes, but is not limited to:
- Niche and competitor research
- Channel branding (logo, banner, identity)
- Channel setup, configuration, and SEO optimization
- Scriptwriting, voiceover, editing, and thumbnail creation
- Content publishing on a consistent schedule
- Analytics monitoring and algorithmic optimization
- Monetization application and approval support
- Ongoing scaling strategy
Specific deliverables, video counts, response times, and inclusions vary by selected tier (Launch / Scale / Elite) as detailed on the Partnership page at the time of enrollment.
04Fees & Payment
The Client agrees to pay the following fees:
Onboarding Fee
A one-time payment of $350 USD, payable in full prior to commencement of any work. This fee is non-refundable once work begins and is not tied to any specific tier — it remains a fixed one-time cost regardless of the tier selected.
Monthly Subscription Fee
A recurring monthly payment based on the Client's selected Tier:
- Launch Tier: $500 USD per month
- Scale Tier: $900 USD per month
- Elite Tier: $1,100 USD per month
The first Monthly Subscription payment is due alongside the Onboarding Fee. Subsequent payments are due at the start of each 30-day Billing Cycle.
Payment Methods & Currency
Fees are quoted and payable in United States Dollars (USD) unless otherwise agreed in writing. Acceptable payment methods include bank transfer, international wire transfer, and other methods agreed upon during onboarding. All applicable transfer fees, currency conversion costs, and taxes are the responsibility of the Client.
Commencement & Delays
Work commences within 48 hours of confirmed receipt of both the Onboarding Fee and the first Monthly Subscription payment. Any delay in payment delays service commencement accordingly. Delays in subsequent monthly payments beyond 7 calendar days may result in paused production until payment is received.
05Non-Refundable Onboarding
ContentMation invests significant human labor, creative effort, and operational resources at the onset of each new engagement. Once these resources are committed, the Onboarding Fee cannot be recovered or reversed under any circumstance, including but not limited to:
- Change of mind by the Client
- Dissatisfaction with selected niche or branding
- Cancellation of Monthly Subscription (see Section 13 for subscription cancellation)
- Delay in channel monetization
- Slower-than-expected growth
- Voluntary termination by the Client
- External factors (YouTube policy changes, algorithm shifts, etc.)
The Client acknowledges this non-refundable nature prior to payment. Payment constitutes full acceptance of this clause.
Monthly Subscription — No Partial Refunds
Once a Monthly Subscription payment is processed, it is not refundable for that Billing Cycle. The Client may cancel the subscription to prevent future charges (see Section 13), but already-paid billing cycles will continue to receive the contracted production output until the cycle ends.
06Monthly Subscription Terms
The Monthly Subscription is a recurring service contract that governs ongoing content production. Key terms:
No Revenue Share
ContentMation does not take any percentage of the Channel's revenue. All AdSense earnings, sponsorship income, brand deals, affiliate revenue, merchandise sales, and any other monetization generated by the Channel belong 100% to the Client. Our compensation is limited to the Onboarding Fee and the Monthly Subscription.
Billing Cycle
Each Billing Cycle is 30 calendar days, beginning on the date of each successful payment. ContentMation will deliver the Tier-specified monthly deliverables (10, 20, or 30 videos depending on Tier) within each active Billing Cycle.
Tier Upgrades & Downgrades
The Client may request to change Tiers at any time. Changes take effect from the next Billing Cycle. Because the Onboarding Fee is a one-time lifetime fee, no additional onboarding charge applies when upgrading or downgrading between Tiers.
Late Payments
If a Monthly Subscription payment is not received within 7 calendar days of the scheduled due date, ContentMation reserves the right to pause production until payment is received. Payments overdue beyond 30 days may result in automatic subscription cancellation, with the Pause Policy (Section 13) not applying to overdue accounts.
Price Changes
ContentMation reserves the right to adjust Monthly Subscription prices. Active subscribers will be given a minimum of 30 days' written notice before any price change takes effect on their account. Clients who do not wish to continue at the adjusted rate may cancel per Section 13.
07Channel Ownership & Access
The Channel is and remains the sole legal property of the Client. It is registered in the Client's name, under the Client's Google account, and is controlled by the Client at all times. All revenue generated by the Channel flows directly to the Client's AdSense account.
To perform the Service, the Client grants ContentMation operational access to the Channel through YouTube Studio's channel permissions system (or equivalent). This access is strictly for the purposes of content upload, analytics monitoring, thumbnail management, and other required operations.
The Client may revoke access at any time; however, revocation without notice while a Monthly Subscription is active may be treated as unilateral cancellation of the subscription (see Section 13). Revocation does not entitle the Client to any refund of the current Billing Cycle's Monthly Subscription payment.
08Client Cooperation
The Client agrees to:
- Make timely Monthly Subscription payments per agreed billing cycle
- Provide timely approval on niche options, branding concepts, and major deliverables
- Grant and maintain YouTube Studio access throughout the subscription period
- Respond to strategy call invitations within reasonable timeframes
- Maintain the Google/YouTube account in good standing
- Not post conflicting content or interfere with the content pipeline without prior written consent
- Promptly notify ContentMation of any copyright claims, community guideline strikes, or monetization issues
- Maintain confidentiality regarding internal strategies and proprietary processes
Failure to cooperate in a manner that materially obstructs the Service may result in delayed delivery, paused service, or termination (at ContentMation's discretion) without refund.
09Content Style & Niche
Niche selection and content style are decided mutually during onboarding. ContentMation presents researched niche options based on current market opportunities, RPM data, and competitive analysis. The Client selects from shortlisted options.
Once a niche and content direction are approved, major pivots (e.g., complete niche change) may require additional onboarding scope and a re-initiation fee. Minor adjustments within the approved niche are included in the Service.
ContentMation retains creative discretion over scripts, thumbnails, titles, and structural decisions, informed by algorithmic performance data. The Client may provide feedback, but final creative decisions rest with ContentMation to protect channel performance.
10Intellectual Property
All Content (scripts, voiceovers, thumbnails, branding assets, video files) produced under this Service remains the intellectual property of ContentMation during the active subscription period, with a perpetual, non-exclusive license granted to the Client for use exclusively on the Channel.
The Client may not:
- Republish Content on channels other than the contracted Channel without written consent
- Resell, redistribute, or repurpose Content for commercial gain outside the Channel
- Remove ContentMation-produced branding or attribution (where applicable) without permission
- Transfer Content to third parties
Upon cancellation or termination of the Monthly Subscription, a perpetual, non-exclusive content license on already-produced Content remains with the Client for continued use on the original Channel only. The Client may continue to earn revenue from this Content on the Channel indefinitely — ContentMation makes no claim on such revenue.
Third-party assets (stock footage, music, fonts) used in Content are licensed under their respective terms. ContentMation ensures all third-party usage complies with applicable licensing at the time of production.
11No Guarantee of Results
YouTube is a third-party platform whose algorithms, monetization policies, advertiser demand, and community guidelines are outside ContentMation's control. Earnings are influenced by:
- Niche RPM (revenue per mille — varies by audience geography and advertiser demand)
- YouTube algorithm behavior at any given time
- Seasonal and market conditions
- Audience response and retention metrics
- Competitive landscape within the chosen niche
- YouTube policy changes or platform modifications
ROI Calculator Disclaimer
The ROI calculator on our Partnership page uses industry-average assumptions (including an average RPM of $6 and typical monetization timelines of Month 5-6) for illustrative purposes only. These projections are not guarantees. Your actual results may be significantly higher or lower. The calculator is provided solely to help you understand a plausible scenario — not to promise a specific outcome.
By engaging our Service, the Client acknowledges that YouTube automation is a business with inherent risk and that results may range from significant success to minimal or no earnings. The Onboarding Fee and Monthly Subscriptions are paid for the Service itself (labor, expertise, content production) — not for any guaranteed outcome.
12Confidentiality
Both parties agree to maintain confidentiality regarding:
- Proprietary processes, workflows, and internal systems of ContentMation
- Specific niche strategies and research data shared during the Service
- Financial details (fees, pricing structures, billing amounts)
- Client's personal information (handled per Section 19)
This confidentiality obligation survives termination of the Agreement for a period of two (2) years, except in cases where disclosure is required by law or court order.
13Cancellation & Pause Policy
Cancellation by Client
After completion of the first paid Billing Cycle, the Client may cancel the Monthly Subscription at any time with no notice period and no exit fees. Cancellation can be initiated via email, WhatsApp message, or any agreed communication channel, and takes effect at the end of the currently paid Billing Cycle.
No refunds are issued for the currently paid Billing Cycle, but the Client will continue to receive the contracted deliverables until the paid cycle ends. No further charges will be processed after cancellation.
The $350 Onboarding Fee is not refunded upon cancellation, as it was a one-time fee covering already-completed onboarding work.
Pause Policy
The Client may request to pause the Monthly Subscription for a period of up to 3 consecutive calendar months. During a pause:
- No monthly charges will be processed
- No new Content will be produced
- The Onboarding Fee remains valid — no re-onboarding required upon resumption
- Existing Content on the Channel remains unaffected
If the pause extends beyond 3 consecutive months, the Service is considered automatically terminated. Re-enrollment after such termination requires payment of a fresh $350 Onboarding Fee, as re-onboarding work (niche re-validation, channel audit, system reconfiguration) must be performed again.
The Client must notify ContentMation of any pause request in writing before the next Billing Cycle begins. Pauses cannot be applied retroactively.
Cancellation by ContentMation
ContentMation may cancel the Service upon written notice under any of the following circumstances:
- Material breach of this Agreement by the Client
- Non-cooperation or obstruction of Service delivery
- Revocation of channel access without justification
- Monthly Subscription payment overdue by more than 30 days
- Engagement in illegal, defamatory, or platform-violating activity by the Client
- Any conduct materially harmful to ContentMation's reputation
Mutual Termination
Both parties may mutually agree in writing to terminate the Service at any time. Already-paid fees remain non-refundable per Sections 5 and 6.
14Post-Termination Obligations
Upon cancellation or termination of the Monthly Subscription, the following terms apply:
No Revenue Claims
ContentMation makes no claim whatsoever on revenue generated by the Channel after termination — or at any point during or before termination. All AdSense, sponsorship, and monetization income from the Channel, including revenue from Content produced during the subscription period, belongs entirely to the Client. There is no lifetime revenue share, no post-termination cut, no ongoing royalty.
Content License
The Client retains a perpetual, non-exclusive license to use all Content produced during the subscription on the original Channel. The Client may continue to monetize this Content indefinitely without any further payment to ContentMation (subject to the restrictions in Section 10).
Access & Handover
Upon termination, ContentMation will revoke its own editor access to the Channel within 7 business days. Any outstanding draft files, unpublished Content, or work-in-progress belonging to the Client's paid Billing Cycle will be delivered via agreed file-sharing methods before access revocation.
Outstanding Balances
Any unpaid Monthly Subscription amounts for Content already produced and delivered remain due, and the Client is obligated to settle these within 14 days of termination. ContentMation reserves the right to pursue collection of overdue balances via legal means.
Re-Enrollment
If the Client re-enrolls after formal termination (including after exceeding the 3-month pause limit), a fresh $350 Onboarding Fee is required, and the engagement begins as a new subscription under then-current Terms and pricing.
15Limitation of Liability
To the maximum extent permitted by law, ContentMation's total aggregate liability to the Client under or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount actually paid by the Client to ContentMation (Onboarding Fee + Monthly Subscription payments) in the 12 months preceding the event giving rise to the claim.
In no event shall ContentMation be liable for:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, business opportunities, or data
- Damages arising from YouTube platform actions (channel strikes, demonetization, termination)
- Damages arising from third-party actions outside ContentMation's control
- Any claim arising more than 6 months after the event giving rise to the claim
The Client acknowledges that these limitations are fundamental to the commercial basis of this Agreement.
16Indemnification
The Client agrees to indemnify, defend, and hold harmless ContentMation, Taha Sharif, and their affiliates, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- The Client's breach of this Agreement
- The Client's use or misuse of the Channel or Content
- Content provided by the Client that infringes third-party rights
- The Client's violation of any law or third-party right
- Any false or misleading statements made by the Client to third parties
17Force Majeure
Neither party shall be liable for any failure or delay in performance of obligations under this Agreement caused by events beyond their reasonable control, including but not limited to: natural disasters, acts of God, pandemics, war, civil unrest, government action, internet or utility failures, cyberattacks, or major platform outages (including YouTube, Google, or AdSense disruptions).
In such events, affected obligations are suspended for the duration of the force majeure event. Monthly Subscription billing may also be suspended if ContentMation is unable to deliver Content due to such events; the Client will not be charged for months of non-delivery. If the event persists beyond 90 days, either party may terminate the Agreement with written notice.
18Dispute Resolution
Good-Faith Negotiation
In the event of any dispute arising from this Agreement, the parties shall first attempt to resolve the matter through good-faith negotiation for a period of no less than 30 days.
Mediation
If negotiation fails, disputes shall be submitted to non-binding mediation conducted via video conference with a mutually agreed mediator.
Governing Law & Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Any legal proceedings shall be brought exclusively in the courts of Karachi, Sindh, Pakistan, which the parties accept as the sole venue.
International clients acknowledge that by entering this Agreement, they submit to the jurisdiction of Pakistani courts for any dispute arising hereunder.
19Data Privacy
ContentMation collects and processes Client personal information (name, contact details, payment information, channel access credentials) solely for the purpose of delivering the Service.
We do not sell, rent, or share Client personal data with third parties except:
- With service providers strictly necessary for delivering the Service (e.g., payment processors, hosting providers), bound by equivalent confidentiality
- Where required by law, legal process, or valid government request
- To protect ContentMation's legal rights in the event of breach
Clients may request deletion of personal data upon termination, subject to retention requirements for tax, accounting, and legal records (typically 5–7 years per Pakistani and international standards).
The Client is responsible for ensuring their own compliance with any data protection obligations applicable to their jurisdiction.
20Amendments
ContentMation reserves the right to modify these Terms at any time. Material changes will be communicated to active Clients via email at least 30 days prior to taking effect, where practicable.
Continued use of the Service or payment of subsequent Monthly Subscriptions after the effective date of amended Terms constitutes acceptance of the revised Terms.
Clients who do not agree to material amendments may cancel the Monthly Subscription per Section 13. Already-paid fees (Onboarding Fee and current Billing Cycle Monthly Subscription) remain non-refundable.
21Severability
If any provision of this Agreement is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the Agreement, and the remaining provisions shall continue in full force and effect.
The parties shall negotiate in good faith to replace any severed provision with a valid, enforceable provision that most closely reflects the original intent.
22Entire Agreement
These Terms, together with any signed service agreement, tier-specific package details, and any written addendums, constitute the entire agreement between the Client and ContentMation regarding the Service.
This Agreement supersedes all prior or contemporaneous oral or written communications, proposals, representations, or agreements relating to the subject matter hereof.
No waiver by either party of any breach shall be deemed a waiver of any subsequent breach. Any waiver must be in writing and signed by the party granting it.
